User Agreement

Please read these Terms of Use carefully before you access or use the Course and do not access or use the Course if you do not agree with these Terms of Use. By checking the box in the initial survey, or accessing or using the Course, you agree to these Terms of Use, including, but not limited to, the privacy terms it contains, as amended from time to time. These Terms of Use may change from time to time. Your continued access to or use of the Course after we make changes is deemed to be acceptance of those changes, so please check periodically for updates.

1. Ownership and Use of the Content

All of the content featured or displayed within the Course, including, without limitation, all text, graphics, photographs, images, animations, video, podcasts, music, software, applications and other materials (“Content”), and the selection, coordination and arrangement of such Content, is owned by the Howard Hughes Medical Institute (“HHMI”), HHMI’s licensors or other providers of such material and is protected by copyright, trademark, patent and other intellectual property or proprietary rights laws. All rights not expressly granted are reserved by HHMI.

Downloadable Content

You may download the Content made available within the Course that is indicated in the Course as available for download solely for your personal, non-commercial use.

Restrictions on Use; Permission Requests

Except as expressly permitted under copyright law or these Terms of Use, you may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, publish, download, frame or incorporate into another website, course or other material, store or transmit any Content without the express permission of HHMI and all other copyright owners. Content may not be sold or used for any commercial purpose under any circumstances without the express permission of HHMI and all other copyright owners.

You may request HHMI’s permission for uses of Content not expressly permitted under copyright law or these Terms of Use by sending your request to the applicable e-mail address listed below. Please include a link to the specific Content you are inquiring about and the terms of use you are seeking.

Proprietary Rights Notices

You must keep intact all copyright notices and provide appropriate attribution to the original author or, if another party is designated in the copyright notice, such party.

2. Trademarks

The HHMI names and logos, including Howard Hughes Medical Institute, HHMI, Janelia Farm Research Campus, Janelia Research Campus, JFRC, BioInteractive, Tangled Bank Studios, and all other trademarks used in the Course are owned by HHMI or their respective trademark owners.  Except as expressly permitted under any additional terms included in the Course, you may not use any such marks without the prior written permission of the owner.

 

3. Links to Other Websites

Links to other websites and resources provided by third parties contained in the Course or on the website on which it is hosted (the “Site”) are provided for your convenience only and do not indicate any endorsement by HHMI. HHMI has no control over the contents of those websites or resources and you agree that we have no responsibility for them or for any loss or damage that may arise from your use of them.

4. Prohibited Uses of the Site

You agree not to: (a) use the Course in any way that violates any applicable law or regulation; (b) engage in any conduct that disables, overburdens, damages, impairs, restricts or interferes with the Course or anyone's use or enjoyment of the Course, or which may harm HHMI or users of the Course or expose them to liability; (c) introduce any viruses, trojan horses, worms, logic bombs or other material which is malicious or technologically harmful to the Course; (d) place pop-up windows over pages of the Course, or otherwise affect the display of pages of the Course; or (e) use any automatic device, process or means to access the Course for any purpose that violates these Terms of Use. Moreover, you agree not to stalk, harass or harm another individual, impersonate any person or entity, or otherwise misrepresent your affiliation with a person or entity, or collect or store personal data about other Course users.

5. Registration

To access the Course, you need to register with Moonami by setting up an account. When creating an account, you must provide accurate and complete information, and you are solely responsible for your use of the account in accordance with Moonami’s applicable terms and conditions.

6. Additional Terms and Conditions

Additional terms and conditions set forth on the Site may apply to specific portions of the Course, which additional terms and conditions are made part of these Terms of Use by reference. You agree to abide by such additional terms and conditions. If there is a conflict between these Terms of Use and the additional terms and conditions applicable to a specific portion of the Site, such additional terms and conditions shall control with respect to your use of that portion of the Site.

7. Privacy

Your privacy is valued and respected by HHMI. As such, this section describes the types of information that HHMI may collect from you when you access or use our Course and how we use, share and protect this information. Please note that this section applies only to information that personally identifies you (other than publicly available information) gathered online at the Course. It does not apply to information that you may submit to us offline or to websites maintained by other companies or organizations to which we may link, or which host our Courses or other materials.

Information You May Provide

It is always your choice, or the choice of anyone acting for you, whether to provide personal information, such as your name, mailing address, e-mail address or other information about yourself or data which can be reasonably linked to such information by us (“Personal Information”).  However, in order to obtain certain materials and services from us and to use certain features of the Course, you will need to provide us with Personal Information about yourself, so the decision not to provide this information will limit or eliminate your ability to receive certain materials or use certain features of the Course.

For example, to participate in the Course, you will need to register with Moonami by creating a password-protected user account. As part of this registration process, you will be required to provide your name, e-mail address and other information about yourself. In a similar fashion, to obtain a certificate demonstrating that you completed the course for professional credit, you will need to provide certain information about yourself, such as your name.  Moonami may make some or all of this Personal Information available to HHMI.

Do not supply Personal Information about others unless you are authorized by such individuals or required to do so by applicable law or contract and such individuals provide their consent to this policy and the Terms of Use.

How We Use Your Information

In general, we use information collected by or on behalf of us through the Course to pursue our mission and operations and to engage in the activity for which the information is collected. Specifically, we may use your information to:

  • communicate with you about the Course and respond to any questions or requests;
  • attribute a quote from a completed survey (after permission is granted from you) which we occasionally post to our website to give Course participants further insights into our resources;
  • communicate with you regarding our mission, programs and activities;
  • fulfill any other purpose for which you provide it;
  • analyze Course participant feedback and track site usage data in order to make improvements to the materials, services and features available on the Course and for other internal purposes;
  • recruit participants for possible HHMI focus groups and studies;
  • create reports on aggregated Course participant responses to surveys and / or our course assessment questions;
  • comply with the law or the good faith belief that such action is necessary to conform with the requirements of law or to comply with legal process served on us; and
  • undertake other activities in accordance with your consent.

Subject to applicable law, we reserve the right to make all lawful, worldwide uses of collected information.

Disclosure of Personal Information

We will only intentionally share your Personal Information with third parties under the following circumstances:

  • we may share Personal Information with affiliates, partners, contractors, service providers and other third parties we work with to support our mission and operation;
  • to fulfill the purpose for which you provided the Personal Information or for any other purpose disclosed by us when you provide Personal Information.  For example,  if you agree to participate in an HHMI focus group, we may provide your Personal Information to the consulting firm we engage to help us perform the study;
  • to comply with any court order, law or legal process, including to respond to any government or regulatory request;
  • when we believe that doing so is required by law, may be necessary to protect any person’s property, rights or safety, to investigate a potential violation of law, to enforce any terms of use or other legal agreement, to protect against misuse or unauthorized use of the Course; or help to resolve disputes that arise in the ordinary course of business;
  • as a result of a reorganization process;
  • in aggregated or other non-personally identifiable form (for example, we may publish aggregate information about the number of Course participants from different geographic locations to the Course); or
  • in accordance with your consent.

Your Choices and Retention of Personal Information

We retain Personal Information for as long as we think is necessary or advisable and we reserve the right to retain it to the full extent not prohibited by law. If you have any questions about what Personal Information about you HHMI retains or would like to request that HHMI not share your information as explained in this Privacy Policy, please contact biointeractive@hhmi.org.

Information Security

We use reasonable technical and organizational measures to protect the Personal Information received from Course participants from unauthorized use or disclosure. Unfortunately, HHMI cannot guarantee the privacy of any Personal Information that you provide. If we are required to provide notice of unauthorized access to security systems, you agree that we may do so by posting notice on our website, by email, or by regular mail, in our discretion.

International Transfers

The Course is published in the United States and is subject to laws of the United States. If you are located in a country outside the United States and submit Personal Information to us, you consent to the general use of such information by us as provided in this Privacy Policy and to the transfer of that information to, and storage of that information in, the United States.

 Third Party Sites

If you click on a hyperlink that you find on the Course, you may leave the website on which the Course is hosted or send information to the website on which the Course is hosted or a different website. This Privacy Policy does not apply to your interactions with other websites even if you find a link to them on the Course. We maintain official social media accounts on third-party websites. Your activity on those third-party sites is governed by the security and privacy policies of the third-party sites. Please read the privacy policy of the third-party website provider to see how your Personal Information will be treated on its website.

Children

The Course is designed for teachers over the age of 18. Course participants who indicate they are over the age of 18 may be contacted via email or other electronic means.

Changes in our Privacy Practices

Although HHMI’s practices with regard to the use, handling and storage or information addressed under this section are not currently anticipated to change, we may in the future change our practices. Your continued access to and use of the Course after we make changes to these privacy terms is deemed to be acceptance of those changes, so check this portion of the Terms of Use for any modifications.

 

8. Termination

We reserve the right to terminate your access to or use of any or all of the Course, any account you maintain with HHMI, or terminate or cancel this agreement, at any time with or without prior notice. You agree that we shall not be liable to you or any third party for termination of your access to or use of the Course. We also reserve the right to withdraw or amend the Course without notice. We will not be liable if for any reason all or any part of the Course or the Site is unavailable at any time or for any period.

9. No Warranties

Your use of the Course and the Site is at your own risk. The Course is provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. Neither HHMI nor any person associated with HHMI makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy or availability of the site, or that completion of the course satisfies the professional learning requirements of any particular jurisdiction or accrediting body. Without limiting the foregoing, neither HHMI nor anyone associated with HHMI represents or warrants that the Course will be accurate, reliable, error-free or uninterrupted, that defects will be corrected, that the site or the server that makes it available are free of viruses or other harmful components or that the site will otherwise meet your needs or expectations. In certain states, the law may not permit the disclaimer of warranties, so the above disclaimer may not apply to you.

10. Limitation on Liability

To the fullest extent permitted under applicable law, in no event will HHMI, its employees, agents, officers or trustees be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Course or the Site, including any direct, indirect, special, incidental, consequential or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable. Because some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, all or a portion of the above limitation may not apply to you.

11. Indemnification

You agree to indemnify, defend and hold harmless HHMI, its trustees, officers, employees and agents from and against all losses, expenses, damages and costs, including attorney’s fees, resulting from your use of the Course or the Site, or any violation by you of these Terms of Use or any Terms of Use governing your use of the Site. HHMI reserves the right to assume, at its sole expense, the exclusive defense and control of any matter subject to indemnification by you, in which event you will fully cooperate with HHMI.

12. Miscellaneous

These Terms of Use constitute the entire agreement between you and HHMI with respect to the Site and the Course. Any failure of HHMI to assert a right or provision shall not constitute a waiver of such right or provision. If any provision of these Terms of Use is held to be invalid, illegal or unenforceable, then such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect. All matters relating to the Course and these Terms of Use shall be governed by and construed in accordance with the internal laws of the State of Maryland without giving effect to any choice or conflict of law provision or rule. The Course was developed and is managed by us in the United States. If you choose to access the Course from locations outside the United States, you do so at your own risk and you are responsible for compliance with any local laws or other applicable terms of use.

13. Notices

You agree that we may give all notices we are required to give by posting notice on our website located at BioInteractive.org, by email, or by regular mail, in our discretion, including, but not limited to, required disclosures, legal notices, and all other communications.
